"Service" or "Services" refers to the nanny and domestic staffing placement services, website, mobile applications, and related services provided by The Noble Nanny.

"User," "you," or "your" refers to any individual or entity that accesses or uses our Services.

"Family" or "Client" refers to individuals or households seeking nanny or domestic staffing services.

"Caregiver" or "Candidate" refers to nannies, household staff, or other domestic workers seeking placement through our Services.

"Website" refers to our website located at [website URL] and any associated subdomains.

"Content" refers to all text, graphics, images, music, software, audio, video, information, or other materials.

"Personal Information" refers to information that identifies, relates to, describes, or is capable of being associated with a particular individual.

"Placement" refers to the successful matching and hiring of a Caregiver by a Family through our Services.

 

2. Acceptance of Terms

By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and The Noble Nanny. Your use of our Services constitutes acceptance of these Terms, regardless of whether you create an account.

Your Representations

You represent and warrant that:

  • You are at least 18 years of age

  • You have the legal capacity to enter into this agreement

  • Your use of the Services will not violate any applicable law or regulation

 

3. Using the Service

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose.

Permitted Uses

You may use our Services to:

  • Search for and connect with domestic staffing candidates or families

  • Create and maintain user profiles

  • Communicate through our platform

  • Access educational resources and information

Prohibited Uses

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights

  • Post false, misleading, or fraudulent information

  • Harass, abuse, or harm other users

  • Attempt to gain unauthorized access to our systems

  • Use automated systems such as bots or scrapers without permission

  • Circumvent our security measures

  • Engage in any commercial use without written permission

  • Post content that is defamatory, obscene, or inappropriate

  • Discriminate based on race, religion, gender, age, or other protected characteristics

  • Solicit users for services outside our platform during the initial placement process

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activities that occur under your account

  • Notifying us immediately of any unauthorized use

 

4. Copyright and Trademark

Our Intellectual Property

All Content on our Services, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is owned by The Noble Nanny or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited license to access and use our Content for personal, non-commercial purposes. This license does not include the right to:

  • Reproduce, distribute, or publicly display our Content

  • Create derivative works

  • Use our trademarks or service marks

  • Use our Content for commercial purposes

User-Generated Content

By submitting Content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such Content in connection with our Services.

You represent and warrant that you own or have the necessary rights to any Content you submit and that such Content does not violate these Terms or any third-party rights.

 

5. Disclaimers and Limitations of Liability

Service Provided "As Is"

Important: Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Results

We do not guarantee:

  • Successful placements or matches

  • The accuracy of information provided by users

  • The suitability of any caregiver or family

  • Continuous, error-free operation of our Services

Background Checks and Verification

While we may conduct background checks and verification processes, we do not guarantee their completeness or accuracy. Families are strongly encouraged to conduct their own due diligence.

Limitation of Liability

To the maximum extent permitted by law, The Noble Nanny shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of your use of our Services.

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

State Law Variations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

 

6. Privacy Policy

7. Indemnity

  • Your violation of these Terms

  • Your violation of any rights of a third party

  • Your Content or conduct on our Services

  • Any employment relationship or arrangement between you and any caregiver or family

 

8. Choice of Law and Dispute Resolution

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

8.2 Jurisdiction

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in New Jersey, and you consent to the jurisdiction of such courts.

8.3 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

8.4 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class, representative, or collective action.

8.5 Small Claims Exception

Notwithstanding the arbitration requirement, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

8.6 Injunctive Relief

Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

8.7 Negotiation Period Required

Before initiating arbitration, the parties agree to attempt to resolve any dispute through good-faith negotiations for at least 30 days.

8.8 Arbitration Costs

Each party shall bear their own costs of arbitration, except that we will pay the arbitration filing fees for claims under $10,000.

8.9 Arbitrator Selection

Arbitrators must be knowledgeable in employment and placement agency law. The arbitration shall be conducted by a single arbitrator unless the parties agree otherwise or the dispute involves claims exceeding $50,000.

8.10 Confidentiality of Proceedings

All arbitration proceedings, including any awards rendered, shall be kept confidential unless disclosure is required by law or court order.

8.11 Enforcement of Awards

Any arbitration award may be entered as a judgment in any court of competent jurisdiction. The prevailing party in any arbitration proceeding shall be entitled to recover reasonable attorneys' fees and costs.

 

9. Amendments and Changes to the Terms

Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website unless otherwise specified.

Notification of Changes

We will provide notice of material changes through:

  • Email notification to registered users

  • Prominent notice on our website

  • In-app notifications where applicable

Continued Use

Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.

Disagreement with Changes

If you disagree with any changes, your sole remedy is to discontinue use of our Services.

No Endorsement

The inclusion of any third-party content or links does not constitute an endorsement by The Noble Nanny.

 

11. Booking and Transacting

Service Fees

Our fees are clearly disclosed and must be paid as agreed. All fees are non-refundable unless explicitly stated otherwise.

Payment Terms

  • Payment is due upon placement confirmation

  • We accept major credit cards and ACH transfers

  • Late payments may incur additional fees

  • You authorize us to charge your selected payment method

Placement Guarantee

We offer a placement guarantee subject to specific terms and conditions outlined in your service agreement.

Refund Policy

Refunds, if applicable, will be processed according to our refund policy provided at the time of service agreement.

Tax Responsibilities

You are responsible for all applicable taxes related to your use of our Services.

 

12. Additional Policies and Terms

Non-Solicitation Agreement

During the term of your service agreement and for 12 months thereafter, you agree not to directly hire any caregiver presented by The Noble Nanny without paying applicable placement fees.

Confidentiality Requirements

You agree to maintain the confidentiality of any proprietary information shared during the placement process.

Employment Law Compliance

Families are responsible for compliance with all employment laws, including but not limited to wage and hour laws, tax withholding, and workers' compensation.

Code of Conduct

All users must maintain professional, respectful communication and behavior while using our Services.

 

13. Termination

Termination by You

You may terminate your account at any time by contacting us or using account settings.

Termination by Us

We may terminate or suspend your access immediately for:

  • Violation of these Terms

  • Fraudulent or illegal activity

  • Abuse of other users

  • Non-payment of fees

Effect of Termination

Upon termination:

  • Your license to use our Services ends immediately

  • We may delete your account and Content

  • Outstanding obligations remain in effect

  • Certain provisions survive termination

 

14. Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

 

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

 

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and The Noble Nanny regarding our Services.

 

17. Survival

The following sections shall survive termination of these Terms: Definitions, Copyright and Trademark, Disclaimers and Limitations of Liability, Indemnity, Choice of Law and Dispute Resolution, and any other provisions that by their nature should survive.
